Per certified, named, productive seat completing the month, exclusive of GST. First-year value means net licence value after discount and taxes for the twelve months following the transaction.

First-time partners are allocated one function and up to fifteen seats until the first full scorecard month.

Commission assumes the SLA minimum, not a stretch: F01 at twenty conversions per agent on ₹16,000 average first-year value; F02 at five new customers on ₹28,000; F03 on a renewal book of ₹35,00,000 with ₹9,00,000 of expansion.

Timing and clawback
A transaction in month M clears the thirty-day refund window during M+1 and pays with the M+2 cycle. A refund or chargeback inside sixty days reverses the commission in full; a new-business account that churns inside ninety days reverses half. Reversals net against the next commission line and are never invoiced back.
Attribution
A transaction is attributed to the seat whose activity last touched the account in the ninety days before it. Where two functions touched it, commission splits sixty-forty in favour of the demonstration. The rule is published in the agreement, not negotiated case by case.

Bands release the variable at 100% from a composite of 95.0, 90% from 90.0, 70% from 80.0 and 40% from 70.0; below 70.0 it is nil. Three consecutive months at or above 95.0 release a further five per cent of the quarter's fixed billing.
The billing month
Two calendars, both fixed
Payment is not contingent on when a customer settles. There is no retention and no security deposit.
D+3 Data frozen
Dialler, helpdesk, CRM and storefront data are frozen and a reconciliation statement is shared before anything is computed. Two working days to flag a discrepancy in the underlying data.
D+5 Invoice raised
Against the agreed seat count and the fixed rate, with the previous month's variable added as a separate line.
D+7 Scorecard published
Computed from system data rather than either party's spreadsheet. Three working days to dispute a measure; seven for a commission statement.
D+10, D+20, M+2 Settlement
Fixed component by the tenth, variable by the twentieth, commission with the M+2 cycle. A missed date carries interest at 1.5% a month and entitles the partner to suspend on seven days' notice.
Induction fee
₹1,50,000 one time per function at signing — trainer deployment, first-batch certification, demo tenants, collateral and platform provisioning. Not refundable.
Security deposit
Nil. No retention against invoices, no bank guarantee, no platform fee and no deduction for tooling or data.
Deductions
Four only: a seat vacant beyond seven working days, an uncertified agent in a billed seat, an agent blended onto another campaign, a confirmed mandate breach.
Rate revision
Seat rates are fixed for the term and revised at renewal. Commission rates may be revised upward at any time and downward only at renewal, on sixty days' notice.
